Introduction

This Subscription Membership Agreement ("Agreement") is entered into by and between You, the purchaser of the Funnel Advisor membership ("Member" or "Subscriber"), and The Funnel Advisors LLC ("Company"), including its affiliates, subcontractors, and assigns, effective as of the date of Your initial purchase and acceptance of these terms, as evidenced by your required acknowledgment.

By enrolling in the Funnel Advisor Membership ("Membership"), the Subscriber agrees to the terms and conditions outlined in this Agreement.

1. Membership Services

During the term of this Agreement, The Funnel Advisors LLC will provide the following services and benefits to You based on your subscription tier:

Starter
- Three (3) weekly 60-minute calls with ClickFunnels & Business Hub technology specialists ("Tech Experts" or "Funnel Builders").

Standard
- Everything in Starter, plus
- Three (3) weekly on-demand Designer task requests.
- Three (3) weekly on-demand Copywriter task requests.
- One (1) monthly 60-minute call with 2CC Award Winners, Inner Circle members, or other experts deemed beneficial to Subscribers.

Premium
- Everything in Starter, plus
- Seven (7) weekly on-demand Designer task requests.
- Seven (7) weekly on-demand Copywriter task requests.
- Fourteen (14) weekly Q&A videos with video response providing a visual walkthrough and/or verbal guidance.
- Four (4) monthly 60-minute calls with 2CC Award Winners, Inner Circle members, or other experts deemed beneficial to Subscribers.

On Demand
- Everything in Starter, plus
- Fourteen (14) weekly on-demand Designer task requests.
- Fourteen (14) weekly on-demand Copywriter task requests.
- Fourteen (14) weekly Q&A videos with video response providing a visual walkthrough and/or verbal guidance.
- Four (4) monthly 60-minute calls with 2CC Award Winners, Inner Circle members, or other experts deemed beneficial to Subscribers.
- Four (4) monthly 'URGENT SUPPORT' voxer/text line requests for emergency support in the event something isn't working correctly.

Calls will be conducted via Zoom, Google Meet, or another comparable conferencing service. It is your responsibility to make the call times that are available.

Services offered at the cadences listed above do not roll-over or otherwise accumulate. They must be used within the set period. For example, this means that on-demand task requests allowed reset weekly and do not roll over from one week to the next; same for Tech Expert calls; same for QA video responses; same for Inner Circle/2CC Winner calls except this cadence resets monthly. 

On Demand Designer and Copywriter service requests are to be subject to the Premium Support terms and conditions.

Membership tiers may be upgraded or downgraded at any time.

Important: The services provided are for advice, guidance, and strategic suggestions. The Funnel Advisors LLC is not responsible for the implementation of any advice provided.

- "2CC Award Winners" are individuals who have earned the Two Comma Club Award issued by ClickFunnels.

- "Inner Circle Members" are individuals who are current or past members of Russell Brunson's Inner Circle Mastermind.

Calls will be scheduled monthly in advance and communicated to Members via email or other electronic means at least weekly. The Funnel Advisors LLC reserves the right to reschedule or cancel calls with reasonable notice.

You must maintain current payment status to receive these services. Access may be suspended during payment disputes or defaults until full payment is received.

All benefits and services are subject to change or cancellation by The Funnel Advisors LLC with reasonable notice.

2. Payment Terms

- Membership fees are payable in advance on a monthly recurring basis.

- A one-week paid trial is offered. Trial Members may upgrade to full Membership at any time during the trial. Details of the trial period and upgrade process will be provided upon enrollment.

- Payments can be cancelled at any time.

- You authorize The Funnel Advisors LLC to charge your provided payment method for initial and recurring fees.

- In the event of a payment dispute, The Funnel Advisors LLC reserves the right to suspend services until the dispute is resolved. Any chargebacks will result in immediate termination of this agreement.

- Late payment may result in a suspension of services.

3. Cancellation and Refund Policy

Subscribers may cancel their Membership at any time.

- Upon cancellation, services will continue until the end of the current billing cycle.

- Due to the immediate access to Program services, fees are non-refundable, except in cases where The Funnel Advisors LLC significantly alters the provided services.

- You acknowledge that you have had ample opportunity to review these terms and the Program services.

4. Removal From Program

The Funnel Advisors LLC may remove a Subscriber at its discretion for any reason, including breach of this Agreement. Upon removal, future payment obligations are waived, excluding past due amounts.

5. Disclaimer of Results

The services relate to online marketing and sales. The Funnel Advisors LLC does not guarantee specific results. Outcomes are the Subscriber's responsibility.

You acknowledge that no guarantees regarding income or gains have been made. You have not been induced by income claims.

6. Term

This Agreement begins upon purchase and continues on a monthly basis while the Subscriber remains in good standing.

"Good standing" requires current payment, no cancellation, no removal, and compliance with this Agreement.

7. Limitation of Liability

The Funnel Advisors LLC is not liable for indirect, incidental, special, consequential, or punitive damages. Liability is limited to the total Membership fees paid.

8. Intellectual Property and Confidentiality

All materials provided by The Funnel Advisors LLC are its intellectual property. Subscribers shall not reproduce or distribute them. Subscribers are responsible for ensuring they have the rights to any intellectual property they provide to The Funnel Advisors LLC. All confidential information shared during calls must be kept confidential by both parties.

The Funnel Advisors LLC reserves the right to use all non-confidential information shared by Subscribers in its educational content. Subscribers may request in writing to have their name and company information omitted or otherwise concealed if used in educational content produced by The Funnel Advisors LLC. 

9. Non-Disparagement

Subscribers agree not to make false or misleading statements that negatively impact The Funnel Advisors LLC. This does not prevent subscribers from providing honest reviews.

10. Indemnification

Subscribers indemnify The Funnel Advisors LLC from claims related to their use of the services.

11. Governing Law and Dispute Resolution

This Agreement is governed by Wyoming law. Disputes shall be resolved through binding arbitration. Subscribers waive the right to participate in class-action lawsuits.

12. Force Majeure

The Funnel Advisors LLC is not liable for delays or failures due to events beyond its control.

13. Technology Disclaimer

The Funnel Advisors LLC is not responsible for the Subscribers technology or internet connection.

14. Entire Agreement

This Agreement is the complete understanding between the parties.

15. Amendment and Waiver

Amendments must be in writing and signed by both parties. Waivers do not constitute future waivers. The Funnel Advisors LLC reserves the right to update this agreement, and will notify the subscribers of any changes.

16. Severability

Invalid provisions do not affect the remaining provisions.

17. Termination

The Funnel Advisors LLC may terminate Memberships for violations of this Agreement.
